TinyShip Terms of Service
Effective Date: July 21, 2025 Welcome to TinyShip (hereinafter referred to as the “Platform” or “we/us”) and its Software as a Service (SaaS) offerings. This Terms of Service Agreement (hereinafter referred to as the “Agreement”) is a legal contract between you (hereinafter referred to as the “User” or “you”) and [Company Name] regarding the use of the Platform’s services. Before registering, using, or purchasing any services provided by TinyShip (including but not limited to template purchases, downloads, and access to GitHub private organizations), please carefully read and understand the entire content of this Agreement. If you do not agree with any terms of this Agreement, please do not register or use the Platform’s services. By registering or using TinyShip services, you are deemed to have accepted and agreed to comply with this Agreement.
1. Services
1.1 TinyShip provides cloud-based SaaS services, including but not limited to template creation, editing, purchasing, downloading, and access to GitHub private organizations (hereinafter referred to as the “Services”).
1.2 Users must register an account and comply with this Agreement to use the Services provided by TinyShip.
1.3 We reserve the right to update, modify, or discontinue any part of the Services at any time, with updates communicated to users via Platform announcements or email notifications.
2. User Eligibility and Account
2.1 You confirm that, at the time of registering a TinyShip account, you are at least 18 years old or have full legal capacity. If you register on behalf of a company or organization, you represent and warrant that you have the authority to bind such company or organization to this Agreement.
2.2 You must provide true, accurate, and complete registration information and update it promptly. Any losses or legal liabilities arising from providing false information shall be borne solely by you.
2.3 Your account is for your personal use or the use of your authorized entity only and may not be transferred, sold, or shared. You are responsible for maintaining account security, including but not limited to protecting your password and preventing unauthorized access.
3. Template Purchase, Download, and Commercial License
3.1 TinyShip offers various templates for purchase. Before purchasing, please carefully review the template’s description, functionality, and scope of use.
3.2 Once purchased, templates are non-refunded unless due to reasons attributable to TinyShip (e.g., significant defects in the template). The refund policy (if applicable) shall be based on the latest version published on the Platform.
3.3 Purchased templates may be downloaded by the user and come with a non-exclusive, worldwide commercial license (hereinafter referred to as the “Commercial License”). The Commercial License permits you to use the template for commercial projects, products, or services, but you may not resell, copy, or distribute the template in its original form.
3.4 The intellectual property rights of the templates belong to [Company Name] or its licensors. Users only receive the usage license specified in this Agreement.
4. GitHub Private Organization Access
4.1 Upon purchasing specific templates or service packages, users may be invited to join TinyShip’s designated GitHub private organization to access related template source code or other resources.
4.2 Users must comply with GitHub’s terms of service and TinyShip’s organization rules and may not share, disclose, or use the contents of the private organization for unauthorized purposes.
4.3 TinyShip reserves the right to adjust access to the GitHub private organization at any time, including but not limited to removing user access or modifying organization content.
4.4 Users are responsible for ensuring the security of their GitHub accounts. Any losses resulting from account security issues shall be borne solely by the user.
5. User Conduct
5.1 You agree to comply with all applicable laws and regulations when using the Platform and GitHub private organizations, and you shall not engage in the following activities:
- Uploading or disseminating illegal, obscene, defamatory, or otherwise inappropriate content;
- Infringing upon the intellectual property, privacy, or other legal rights of others;
- Interfering with or disrupting the normal operation of the Platform or GitHub private organizations, including but not limited to spreading viruses or conducting hacking activities;
- Unauthorized access, sharing, or use of other users’ data or private organization content;
- Using templates provided by the Platform for any illegal or unauthorized activities.
5.2 If you violate the above provisions, we reserve the right to suspend or terminate your account and GitHub private organization access and pursue legal liability.
5.3 Disclaimer: TinyShip’s templates are provided solely as foundational tools, and users bear full responsibility for their actions and consequences when using the templates. If users engage in any illegal, non-compliant, or unauthorized activities using the templates (including but not limited to illegal commercial activities, infringement, or other improper uses), TinyShip shall not be liable and assumes no legal, financial, or other responsibilities arising therefrom.
6. Payments and Fees
6.1 Certain Services (including template purchases and GitHub private organization access) require payment, with specific prices published on the Platform.
6.2 You shall pay fees on time. Failure to do so may result in the suspension or termination of Services, including the removal of GitHub private organization access.
6.3 All fees exclude taxes unless otherwise stated, and you are responsible for bearing applicable taxes.
6.4 We reserve the right to adjust prices at any time, with prior notice provided via Platform announcements or email notifications.
7. Intellectual Property
7.1 The Platform and its content (including but not limited to templates, designs, text, code, graphics, etc.) are owned by [Company Name] or its licensors and are protected by copyright, trademark, and other laws.
7.2 Without our written permission, you may not copy, modify, distribute, or otherwise use any content from the Platform or GitHub private organizations, except as expressly permitted by this Agreement.
7.3 Content uploaded by users (if applicable) remains owned by the user, but you grant us a worldwide, non-exclusive, royalty-free, and sublicensable license to use such content for providing, improving, and promoting the Platform’s Services.
7.4 Any activities involving the use of templates (including derivative works created based on templates) must not infringe upon the intellectual property rights of TinyShip or third parties. TinyShip is not responsible for the legality of derivative works created by users based on the templates.
8. Privacy Policy
8.1 We value your privacy, and the collection and processing of your personal information will comply with our Privacy Policy. Please review the Privacy Policy for details.
8.2 You agree that we may collect, use, and store your information (including GitHub account information) as necessary to provide the Services and comply with legal requirements.
9. Termination of Services
9.1 You may terminate the use of the Platform’s Services at any time through account settings or by contacting customer support. Upon termination, you will no longer have access to your account, template downloads, or GitHub private organizations.
9.2 If you violate this Agreement, we reserve the right to suspend or terminate your access to the Services (including GitHub private organization access) at any time without liability.
9.3 Upon termination, your account data and GitHub private organization access may be deleted, and we are not responsible for data recovery.
10. Disclaimer
10.1 The Platform’s Services and GitHub private organizations are provided “as is,” and we make no express or implied warranties regarding their continuity, accuracy, or suitability.
10.2 We are not liable for service interruptions, data loss, or restricted GitHub access due to force majeure events (e.g., natural disasters, wars, cyberattacks, etc.).
10.3 User Responsibility: TinyShip provides templates solely as foundational tools, and users bear full responsibility for their actions and outcomes when using the templates (including but not limited to commercial uses, derivative works, or any illegal activities). TinyShip is not liable for any legal, financial, or other responsibilities arising from users’ illegal, non-compliant, or unauthorized use of templates.
11. Governing Law and Dispute Resolution
11.1 This Agreement is governed by [applicable law, e.g., the laws of the State of Delaware, USA].
11.2 Any disputes arising from this Agreement shall be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with [the court with jurisdiction at the Company’s location, e.g., a court in Delaware, USA].
12. Agreement Updates
12.1 We may update this Agreement from time to time, and the updated version will be published on the Platform or notified to users via email.
12.2 Continued use of the Platform’s Services or GitHub private organizations constitutes acceptance of the updated Agreement. If you do not agree with the updated terms, you should cease using the Services.
